CMA warns Kenyan investors over unauthorised Dangote refinery IPO offers

Kenya’s Capital Markets Authority (CMA) has warned investors against unauthorised offers to sell shares in Dangote Petroleum Refinery, saying the IPO has not been approved for marketing in Kenya.

In a statement issued on Monday, the CMA said it had identified fraudulent schemes circulating online and through informal networks that claim to give Kenyan investors access to the refinery’s IPO. The regulator said the transaction is legitimate in Nigeria but has not been submitted for approval under Kenyan law and therefore cannot be marketed in the country.

The Dangote Refinery IPO opened on 14 September and is scheduled to close on 13 October. Approved by Nigeria’s Securities and Exchange Commission, the offer comprises 4.1 billion ordinary shares priced at 525 naira each. If fully subscribed, it could raise about $1.6 billion and value the refinery at approximately $47 billion.

The refinery began operations in 2024 and currently processes about 650,000 barrels of crude oil per day. Its capacity is expected to increase to 1.4 million barrels. The minimum investment is 10 shares, costing slightly more than $4, allowing small investors to participate through authorised Nigerian brokers and platforms.

The CMA’s warning highlights the regulatory requirements governing cross-border investment. Capital markets analyst Jackson Mwangi said Kenya’s Capital Markets Act requires a public offer to be accompanied by a prospectus approved by the CMA.

He said advertisements, WhatsApp promotions and websites offering Dangote shares to investors in Kenya without the required approval are unlawful. Mwangi also urged investors to verify intermediaries and confirm that any investment opportunity complies with Kenyan regulations.

Nigeria’s securities regulator has issued similar warnings after detecting fraudulent promotions relating to the refinery’s pre-IPO share sale. It has advised investors to use only authorised subscription channels and avoid unsolicited investment offers.

Dangote has promoted the IPO as a major opportunity for retail investors across Africa. In an interview with Kenyan journalist Larry Madowo, the billionaire industrialist described it as a “People’s IPO” intended to broaden access to capital markets.

Dangote said he expected the offer to attract millions of shareholders and suggested that annual general meetings could eventually be held in stadiums to accommodate the number of investors.
